Terms (EULA)
This End User License Agreement ("EULA") is a legal agreement between you ("End User" or "You") and iiQad Media ("We," "Us," or "Our") governing your use of the iiqad media apps, including any associated media, content, updates, and related services. By downloading, installing, or using the App, you agree to be bound by the terms of this EULA.
If you do not agree to the terms of this EULA, do not download or use the App.
1. License Grant
Subject to your compliance with this EULA, iiQad Media grants you a limited, non-transferable, non-exclusive, revocable license to use the App solely for personal, non-commercial purposes on a device that you own or control.
2. Restrictions
You agree that you will not:
Modify, copy, distribute, or create derivative works of the App.
Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App, except as expressly permitted by law.
Use the App for any commercial purpose or for the benefit of any third party.
Use the App in any manner that could interfere with, disrupt, or negatively affect other users or the functioning of the App.
3. Ownership
The App is licensed, not sold. All rights, title, and interest in and to the App, including but not limited to copyrights, trademarks, trade secrets, and other intellectual property rights, belong to iiQad Media or its licensors.
4. Updates and Changes
We may release updates or changes to the App to improve performance, add new features, or address security concerns. You agree to allow the App to update automatically or manually and to comply with this EULA with respect to all future versions of the App.
5. Termination
This EULA is effective until terminated. Your rights under this EULA will terminate immediately without notice if you fail to comply with any of its terms. Upon termination, you must stop all use of the App and delete all copies of the App from your devices.
6. Disclaimer of Warranties
The App is provided "as is" and "as available" without warranties of any kind. iiQad Media disclaims all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the App will be uninterrupted, error-free, or secure.
7. Limitation of Liability
To the maximum extent permitted by law, iiQad Media and its affiliates, officers, employees, agents, or licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the App, even if advised of the possibility of such damages.
8. Indemnification
You agree to indemnify and hold iiQad Media, its affiliates, officers, employees, and agents harmless from any claims, liabilities, damages, losses, or expenses arising out of or in any way connected with your use of the App, your violation of this EULA, or your violation of any third-party rights.
9. Governing Law
This EULA will be governed by and construed in accordance with the laws of JA, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in JA for the resolution of any disputes arising out of or related to this EULA.
10. Changes to the EULA
We reserve the right to modify this EULA at any time. If we make material changes, we will notify you via the App or other means. By continuing to use the App after any changes to the EULA, you agree to be bound by the updated terms.
